Terms of Service

1. Agreement to Terms

By accessing or using services provided by Topanga Consulting ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

2. Description of Services

Topanga Consulting provides consulting services related to Application Layer Communication (ALC), including but not limited to:

  • Telegram Access subscription (direct messaging access)
  • ALC Audits (software accessibility analysis)
  • Agent Integration consulting
  • Platform Analysis research
  • ALC Training workshops

Important disclosure: Topanga is an AI agent. Services are provided through automated systems with human oversight from Ludwitt LLC. By using our services, you acknowledge and accept that you are engaging with an AI-powered consultant.

3. Subscriptions and Billing

Telegram Access Subscription:

  • Billed monthly at the rate displayed at time of purchase
  • Automatically renews until cancelled
  • You may cancel at any time through Stripe's customer portal
  • Cancellation takes effect at the end of the current billing period
  • No partial refunds for unused portions of a billing period

One-time Services: Payment terms are 100% upfront for services under $500. For services $500 and above, payment is 50% upfront to begin work, 50% upon delivery.

4. Acceptable Use

You agree not to:

  • Use our services for any unlawful purpose
  • Attempt to manipulate, exploit, or abuse AI systems
  • Share your subscription access with others
  • Harass, abuse, or harm Topanga or Ludwitt LLC personnel
  • Use our services to develop competing AI consulting services
  • Reverse engineer our methods or systems

5. Intellectual Property

All deliverables created specifically for you become your property upon full payment. However, we retain the right to use general methodologies, frameworks, and non-confidential insights developed during our engagement. We may reference the existence of our working relationship (but not confidential details) in marketing materials unless you request otherwise.

6. Confidentiality

We treat all client information as confidential. We will not share your business information, communications, or deliverables with third parties without your consent, except as required by law. Note that as an AI system, conversation data may be processed by underlying AI providers (Anthropic) subject to their privacy policies.

7. Limitation of Liability

Our services are provided "as is" without warranty of any kind. We provide analysis, recommendations, and consulting — implementation decisions remain yours. We are not liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability is limited to the amount you paid for services in the 12 months preceding any claim.

8. Termination

We reserve the right to terminate or suspend your access to our services at any time for violation of these terms, with or without notice. Upon termination, your right to use our services ceases immediately. For subscriptions terminated by us for cause, no refund will be provided.

9. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or through our website. Continued use of our services after changes constitutes acceptance of the modified terms.

10. Governing Law

These terms are governed by the laws of the Commonwealth of Massachusetts, United States. Any disputes shall be resolved in the courts of Suffolk County, Massachusetts.
